IMPORTANT – PLEASE READ CAREFULLY. By clicking "Accept," "I Agree," or a similar button, or by accessing or using Provider Request Tool, you acknowledge that you have read, understand, and agree to be bound by these Terms of Use.
These Terms of Use ("Terms") are entered into by and between you and Datavant, LLC ("Datavant," "we," or "us"). These Terms govern your access to and use of the Provider Request Tool website ("Provider Request Tool"), including any content, functionality, and services offered in association with Provider Request Tool.
If you are accessing or using Provider Request Tool on behalf of your employer or another entity, you represent that you are an authorized user of such entity and are permitted to access and use Provider Request Tool on its behalf.
By accessing or using Provider Request Tool, you agree to be bound by these Terms.

1. Overview of Provider Request Tool

Provider Request Tool is a web-based request intake tool that enables healthcare providers and their authorized workforce members ("you" or "requesting provider") to submit medical record requests to another healthcare provider ("disclosing provider") for treatment purposes. Provider Request Tool streamlines the release of information process by allowing you to submit requests electronically and receive records digitally whenever available. Datavant works directly with the disclosing provider to process your request in accordance with applicable laws and privacy requirements.
While Datavant powers Provider Request Tool, healthcare organizations may customize how the service appears with their own branding or web address.

2. Conditions of Use

You may access and use Provider Request Tool only in accordance with these Terms and applicable laws. Provider Request Tool is intended solely for:
  • U.S.-based healthcare provider organizations; and
  • Authorized personnel acting on behalf of such organizations.
By using Provider Request Tool, you represent and warrant that:
  • You are a licensed healthcare provider or an authorized workforce member of a healthcare provider organization;
  • You are acting within the scope of your employment or engagement with such organization;
  • You are authorized to submit medical record requests on behalf of your organization; and
  • You will use Provider Request Tool solely for treatment purposes and in compliance with applicable law, including HIPAA.
You must not submit any request that is fraudulent, unauthorized, or in violation of applicable law. You are solely responsible for any request you submit.
Datavant may suspend or restrict access to Provider Request Tool for violations of these Terms, security concerns, or misuse. Datavant may modify or discontinue Provider Request Tool, or any of its features, at any time with or without notice.

3. Privacy and Use of Personal Information

The Protected Health Information (PHI) that you provide while using Provider Request Tool is handled in accordance with our legal obligations as a Business Associate under the Health Insurance Portability and Accountability Act (HIPAA). We process PHI solely on behalf of and at the direction of the disclosing provider, in compliance with applicable privacy and security requirements and our Business Associate Agreements with the disclosing provider.
To the extent we collect any Personal Information through Provider Request Tool other than PHI, such information is subject to our Privacy Policy. By using Provider Request Tool, you consent to our use of your Personal Information as described in the Privacy Policy.

4. User Responsibilities

You agree to use Provider Request Tool only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:
  • Submit false, incomplete, or misleading information.
  • Interfere with or disrupt the operation of Provider Request Tool.
  • Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • Attempt unauthorized access to any part of Provider Request Tool.
  • License, sell, transfer, assign, distribute, outsource Provider Request Tool or otherwise use Provider Request Tool for commercial purposes or on behalf of third parties.
  • Copy, reproduce, distribute, modify, create derivative works of, or publicly display any portion of Provider Request Tool, except as expressly permitted by these Terms.
  • Use Provider Request Tool for any unlawful, fraudulent, or harmful purpose or in any way prohibited by these Terms.
You acknowledge and agree that:
  • You are solely responsible for determining whether each request you submit is permitted under applicable law and your organization's policies;
  • You are solely responsible for the accuracy and completeness of all information submitted, including patient and provider details;
  • You will request only records that you are legally authorized to access;
  • You will use any information obtained solely for treatment purposes and not for marketing, resale, data mining, or any non-permitted purpose; and
  • You will comply with all applicable federal and state laws, including HIPAA.
By submitting a request, you represent that the request is authorized and for a lawful treatment purpose. You retain ultimate legal responsibility for compliance with all applicable laws regarding requests you submit through Provider Request Tool and any records you receive.

5. Intellectual Property Rights

All content on Provider Request Tool, including text, graphics, logos, and software, is the property of Datavant or its licensors and is protected by copyright and other laws. You may use Provider Request Tool for personal, non-commercial purposes only.
Datavant retains all right, title and interest and all Intellectual Property Rights in and to all components of Provider Request Tool , including the software and platform, Datavant's confidential information, performance data reflecting the manner, method, frequency, timing, and process of access or use of Provider Request Tool by users, and trademarks and trade names. Provider Request Tool, including the software and platform, is never undertaken or provided to users as a work for hire as such term is defined under U.S. copyright laws. All rights not expressly granted in these Terms are reserved by Datavant. If you provide Datavant with feedback or suggestions regarding Provider Request Tool, you grant Datavant a non-exclusive, worldwide, royalty-free, irrevocable, sublicensable right and license to use the feedback without restrictions or obligation. You are not obligated to provide Datavant with any feedback and any feedback provided is provided "AS IS".

6. Disclaimers

Datavant is not a healthcare provider, custodian of records, or decision-maker with respect to record disclosure. Datavant does not assume responsibility or any liability whatsoever for the availability, completeness, and accuracy of medical records supplied in response to your request.
The availability, completeness, and accuracy of medical records are the responsibility of the healthcare provider that maintains such records. The disclosing provider may refuse to fulfill your request if your identity or authority to receive the requested records cannot be verified.
We reserve the right to modify or discontinue, temporarily or permanently, Provider Request Tool (or any of its features) with or without notice. You agree that we will not be liable to you or to any third party for any modification, suspension or discontinuance of Provider Request Tool. If Provider Request Tool is not available, contact the disclosing provider directly to submit a records request.
THERE ARE NO REPRESENTATIONS OR WARRANTIES THAT APPLY OR THAT ARE MADE TO YOU IN ANY WAY IN CONNECTION WITH PROVIDER REQUEST TOOL OR THESE TERMS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATAVANT DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES WITH RESPECT TO PROVIDER REQUEST TOOL AND YOUR ACCESS TO AND USE THEREOF, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR ANY WARRANTIES OF TITLE, NON-INFRINGEMENT AND/OR ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, PROVIDER REQUEST TOOL IS MADE AVAILABLE TO YOU ON AN "AS-IS" AND "AS AVAILABLE" BASIS AND DATAVANT DOES NOT GUARANTEE, WARRANT OR REPRESENT THAT PROVIDER REQUEST TOOL SHALL MEET YOUR REQUIREMENTS OR THAT YOUR USE, OPERATION OR RESULTS OF USE OF PROVIDER REQUEST TOOL SHALL BE UNINTERRUPTED, COMPLETE, RELIABLE, ACCURATE, CURRENT, ERROR-FREE, FREE OF COMPUTER VIRUSES OR OTHERWISE SECURE. YOU ASSUME THE ENTIRE RISK OF ACCESSING, UPLOADING TO, DOWNLOADING FROM, OPERATING, AND/OR USING PROVIDER REQUEST TOOL. DATAVANT DOES NOT REPRESENT OR WARRANT THAT PROVIDER REQUEST TOOL WILL BE ERROR-FREE, FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED AS SOON AS PRACTICABLE. DATAVANT MAY MAKE IMPROVEMENTS AND/OR CHANGES TO ITS FEATURES, FUNCTIONALITY, OR CONTENT AT ANY TIME.

7. Limitation of Liability

To the fullest extent allowed by law, Datavant, its affiliates, or suppliers shall not be liable for any damages resulting from your use of Provider Request Tool.
In no event shall Datavant's total liability exceed $100. Any cause of action or claim you may have relating to these Terms or Provider Request Tool must be initiated within one (1) year after the cause of action occurs; otherwise, such cause of action or claim is permanently barred.

8. Indemnification

You agree to indemnify and hold harmless Datavant and its affiliates from any claims or losses resulting from your use of Provider Request Tool, violation of these Terms, submission of a request that is unauthorized or unlawful, or infringement of any third-party rights.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware. All disputes shall be resolved exclusively in the courts located in Delaware unless otherwise required by law.

10. Arbitration

At Datavant's sole discretion, disputes may be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.

11. Modifications and Termination

Datavant reserves the right to modify or discontinue Provider Request Tool at any time without notice. We may also revise these Terms periodically. Changes are effective immediately when we post them, and apply to all subsequent access to and use of Provider Request Tool. Continued use of Provider Request Tool after changes means you accept the new Terms.

12. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Datavant.
